These terms and conditions (“Agreement”) govern your use of the services provided by Adseek (“Agency”), an outdoor advertising agency. By engaging with our services, you agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you should not use our services.
Services
The Agency will provide you with outdoor advertising services, including but not limited to, billboard advertising, digital advertising, and any other outdoor advertising services as agreed upon by both parties.
fees
The fees for our services will be agreed upon in writing by both parties. Unless otherwise agreed upon, fees are due in full upon acceptance of the service.
Payments
Payment must be made within the time frame specified in the agreement. In case of late payment, the Agency reserves the right to suspend services and take appropriate legal action to recover the outstanding amount.
Duration of service
The duration of the services will be specified in the agreement. The Agency may terminate the agreement if you breach any of the terms and conditions of this Agreement.
Intellectual Property
You agree that the Agency retains all intellectual property rights, including but not limited to copyright and trademark rights, to any designs, logos, or other materials used in the provision of our services.
Confidentiality
The Agency and you agree to keep confidential all information disclosed during the course of the services, including but not limited to trade secrets, business strategies, and financial information.
Liability
The Agency will not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to the services provided under this Agreement. You agree to indemnify and hold the Agency harmless from any claims, damages, or expenses arising out of or related to the services provided under this Agreement.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of South Africa. Any dispute arising out of or related to this Agreement shall be submitted to the exclusive jurisdiction of the South African courts.
Modification
The Agency reserves the right to modify this Agreement at any time, and such modifications shall be effective immediately upon posting on our website. Your continued use of our services after any modifications to this Agreement will be deemed acceptance of such modifications.
Entire Agreement
This Agreement constitutes the entire agreement between the Agency and you, and supersedes all prior or contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.
By accepting our services, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
